Defendants Textainer Financial Services Corporation, Textainer Equipment Management Limited, Textainer Limited, Textainer Capital Corporation, Textainer Group Holdings Limited, TCC Equipment Income Fund, Textainer Equipment Income Fund II, L.P., Textainer Equipment Income Fund III, L.P., Textainer Equipment Income Fund IV, L.P., Textainer Equipment Income Fund V, L.P., Textainer Equipment Income Fund VI, L.P. and John A. Maccarone (collectively, "The Textainer Defendants"), hereby apply to the Court ex parte pursuant to Civil L. R. 7.4(b) and 7.10, for entry of an Order granting leave to file a Memorandum in Support of their Motion to Dismiss Plaintiffs Consolidated and Amended Class Action Complaint (the Complaint) not to exceed 30 pages. Such leave is requested and necessary for the following reasons: The Complaint alleges two counts of securities law violations pursuant to Sections 14(a) and 20 of the Securities Exchange Act of 1934, 15 U.S.C. 78n(a) and t(a), the First and Fourth Claims for Relief, respectively, and two counts of breach of fiduciary duties, the Second and Third Claims for Relief. Defendants response to the Complaint, due tomorrow, will be a Motion to Dismiss pursuant to Fed.Civ.Proc.Rule 12(b)(6). The Motion asserts several grounds as to each of the counts. Additionally, certain grounds for dismissal exist on behalf of some, but not all Defendants, and those grounds need to be addressed separately. Defendants have made every effort to edit their Memorandum to bring it within the 25 page limit, and are continuing those efforts as this Application is being filed. However, the 25 page limit may not be achievable without sacrificing substantive arguments. Accordingly, Defendants file this Application to permit the leeway of up to five additional pages. The undersigned counsel notified Plaintiffs counsel, Gwendolyn Giblin, that Defendants would be making this Application, and sought her agreement to the relief. Ms. Giblin said she would consider it, but has not yet given her response. /// /// /// /// ///
