Frates is a corporation organzed under the laws of the State of Oklahoma with 'its
pricipal place of business

in Oklahoma County.

Westcbester is an insurance company organized under the laws of the State of

Pennsylvania, licensed to do. business in the State of Oklahoma and is now and was at all times

mentioned herein doing business in Oklahoma County, Oklahoma. Frates ' cause of action arose
in Oklahoma County.

Venue is proper in this Cour pursuant to 12 Okla. Stat.
