SAMUEL ZELL; EGI-TRB, LLC; and GREATBANC TRUST COMPANY, DEFENDANTS. NOTICE OF CLASS ACTION SETTLEMENT PLEASE READ THIS NOTICE CAREFULLY AND COMPLETELY. If you are a member of the Class to whom this Notice is addressed, the settlement will affect your legal rights. A FEDERAL COURT HAS AUTHORIZED THIS NOTICE. This is not a solicitation from a lawyer. You have not been sued. The parties to the above class action (the "Lawsuit"), have reached a proposed settlement (the "Settlement") of the Lawsuit. The United States District Court for the Northern District of Illinois has given its preliminary approval of this Settlement. The Settlement will provide for a payment to the Tribune Company Employee Stock Ownership Plan (the "ESOP") and for allocation of that payment to the individual ESOP accounts of Class members. This notice informs you about the terms of the Settlement and about your rights under the Settlement. Under the proposed Settlement, the estimated settlement allocation to your ESOP account is S940.99, based on 199.2866 shares allocated to your ESOP account as of 12/31/10. Please be advised that this settlement allocation amount is ONLY an estimate. The ultimate amount you receive may differ from the estimate depending on the actual amounts expended from the Settlement fund for settlement administration expenses (for cost of notice to the class, fees for retention of an independent fiduciary, etc.) and the deduction of attorneys" fees and costs and incentive fees for Dan Neil and Eric Bailey (the "Named Plaintiffs"') as determined by the Court. A hearing will be held on January 30, 2012, at 10:00 a.m. Central Time before the Honorable Rebecca Pallmeyer, United States District Court for the Northern District of Illinois, at the United States Courthouse, U.S. District Court, 219 South Dearborn Street, Chicago, Illinois 60604, to determine whether the Settlement is fair, reasonable and adequate and should be finally approved. A hearing on Plaintiffs' Motion for Attorneys' Fees and Costs and for incentive payments to the Named Plaintiffs will be held at the same time. You have a right to object, and if you wish, a right to appear at the hearing. However, you WILL NOT be heard unless you submit a written objection with the Court no later than December 16, 2011. The procedure for objecting is described below. If you do not object to the Settlement, you do not need to file any papers with the Court, nor do you have to appear in Court on December 16, 2011.
