MAINTENANCE AGREEMENT This agreement is made at Bangalore on 10th May 2011 by and between Konsurv Printsol Inc(here in after referred to as KONSURV) and Karnataka State Nursing Council 1. SCOPE OF SERVICE: KONSURV agrees to provide the following services under the agreement to keep the system in good working order: a) On-call corrective and remedial maintenance service to set right the malfunctions of the system. This includes replacement of unserviceable parts. The parts replaced will either be new parts or equivalent in performance to new parts. Whether a defective item or components are to be replaced or repaired shall be at the sole discretion of KONSURV. In the case of replacement of a part, the defective part removed from the system will become the property of KONSURV. 2. TERMS a) This agreement is initially for a period of one year commencing from the date as mutually agreed upon and shall be renewed at expiry, for a further period of one year at each time and so on as per mutual agreement. b) The Karnataka State Nursing Council shall be responsible for providing proper power source and air conditioning prescribed by KONSURV as also the other environmental conditions including electrical requirements and site facilities prescribed by KONSURV. Any damages due to deviations from these at the Karnataka State Nursing Council end will not be covered under this agreement. c) The Karnataka State Nursing Council at his own expenses shall give KONSURV full access to the equipment to enable KONSURV to provide maintenance, make available to the KONSURV engineers suitable staff that are familiar with the Karnataka State Nursing Councils programs, and provide suitable working space and facilities. d) The Karnataka State Nursing Council shall not directly or indirectly, open, alter, try to tamper with or in anyway do any act which will result in intruding with the internal operation of the machine (except routine input/output and data processing), and make any modification to the configuration supported by KONSURV, without the presence of KONSURV Field Engineer. e) The Karnataka State Nursing Council shall not be entitled to assign this service arrangement or any benefit or interest herein to any other external person or agency without the prior written consent of KONSURV. None other than KONSURV personnel have authority to alter or change any item inside the system. f) System maintenance charges shall not include the cost of consumable and supply items such as but not limited to ribbons, media like magnetic tapes, floppy diskettes, computer stationery, Plastic items, Batteries, Cables etc

MAINTENANCE AGREEMENT g) This contract extends only to problems arising out of normal functioning of the equipment and the agreement does not cover problems arising out of misuse of equipment, physical damages/breakage of any items other than normal wear and tear, misplace of components, equipments, Chemical reactions, units or use of equipment under environmental conditions not prescribed by KONSURV. This agreement specifically excludes damages caused due to fire, theft, riots, accidents and other exceptional circumstances. h) KONSURV shall carry out inspection on the Computer System and related peripherals after undertaking the same under maintenance contract. Any problem/failure occurred during pre-contract period and identified during inspection or later on, shall be intimated to the Karnataka State Nursing Council and rectified at additional cost after obtaining necessary approval. i) The Karnataka State Nursing Council agrees that during the course of this agreement and up to six months after the expiry of agreement, shall not recruit/hire directly or indirectly any KONSURVs Personnel. 3. PERIOD FOR MAINTENANCE SERVICE AVAILABILITY: a) Maintenance service shall be rendered on all the days except on Sundays and gazzeted holidays declared by Government of India, during normal working hours which are between 09-30 hrs and 18-00 hrs. b) Any services beyond normal working hours and place may be provided by KONSURV against mutually agreed charges. c) Konsurv shall endeavor to respond to service requests in quickest possible time. For Response time and resolution time refer ANNEXURE- A 4. REVISION OF MAINTENANCE CHARGES: a) Changes or enhancements in system features may result in an adjustment of the specified minimum maintenance charges and shall be covered by extensions of this agreement under similar terms and conditions. b) In the event of the Karnataka State Nursing Council rescinding this agreement, this maintenance agreement will be void forthwith and in such a case, the Karnataka State Nursing Council shall be eligible for refund of the maintenance charges on a (prorate) monthly basis for remaining full months of the contract.

MAINTENANCE AGREEMENT 5. CHANGE OF LOCATION: a) Relocation or shifting of the equipment shall be done by the Karnataka State Nursing Council at his own cost and risk. Any damage to the equipment arising out of such relocation or shifting will not be covered under this agreement. b) In the case of relocation of the system, KONSURV shall levy relocation charges, the charges varying as to the nature of relocation and complexities involved in shifting the system. Maintenance charges may be revised depending on the new location. 6. LIMITATION OF LIABILITY: KONSURVs liability under this agreement does not extend to: a) Major upgrading of the machine. b) Any work external to the machines which affects performance of machine, like power supply, cable from main power source etc. c) Repair or malfunction or damage due to accident, transportation neglect, failure of or use of non-standard electrical power, air-conditioning or parts, or not adhering to environmental standards as prescribed by KONSURV. d) Furnishing rubber parts, plates, supplies, painting or refinishing the machines, making specification changes. e) Working by persons other than KONSURV personnel, on the machine, except for input/output and data processing. f) Any service, under circumstances posing a safety or health hazard. g) Any repair or alteration arising out of any damage or physical loss caused by natural calamities or for any reason beyond the control of either party or due to negligence by the Karnataka State Nursing Council in performing his obligations may be rendered by KONSURV, only after the Karnataka State Nursing Council agrees to the estimated additional charges thereof.

MAINTENANCE AGREEMENT h). KONSURV's liability under this contract, notwithstanding anything to the contrary under this agreement is restricted to ensuring that the equipment is in good working order and to no other liability, whether express or implied. 1. Electrical: Proper grounding has to be ensured by Karnataka State Nursing Council. Ground-to-neutral voltage should not exceed 2 volts. Electric load like elevators should not be connected on the same phase as the one for the computer systems. 2. General Condition: The room should be kept perfectly clean and dust-free. In addition, measures have to be taken by Karnataka State Nursing Council to eliminate pests and rodents, which are likely to damage cables and wires. Good quality CVT/UPS to be connected to the computer systems and peripherals. Room temperature 250 C to be maintained for smooth functioning and long life of systems. 7. Force Majeure: KONSURV shall not be liable for failure to perform any of its obligations under or arising out of this contract if such failure results from any forcemajeure, act of God, fire, storm, earthquake, explosion, accidents, strikes, lockout, imminence or incidence of or the existence of any state of emergency, riots or any other reasons beyond KONSURV's control. 8. ARBITRATION CLAUSE: In case of any dispute arising at any time during the tenure of this agreement between the parties to this agreement, the same shall be referred to arbitration and the provisions of the Arbitration and Conciliation Act 1996, as modified or re-enacted from time to time shall apply. If obligation arises, either party can give 1 month written notice and make the contract null & void. 9. This contract shall be governed by the laws of India and shall be subject to the jurisdiction of Bangalore Courts only. By signing this agreement, all verbal/written communications stands invalid. However, any deviation or special conditions may be attached as annexure to this agreement and signed by both parties.
