Agreement of Licence This agreement is made on . Between the following parties:1) M/s .

the party of the first part, hereinafter called the Licensor. And 2) M/s the party of the second part, hereinafter called the Licensee. Whereas the Licensor is running a factory at ., and desires the licensee to run the canteen situated within the factory premises on labour rate basis only. And whereas the licensee has agreed to prepare and serve the meals in the canteen to the employees and guests of the Licensor. And whereas that in consideration of the mutual promises and obligations now this agreement of Licence witnesseth as follows: 1. That the Licensor shall provide the space for canteen comprising one kitchen and dining hall with furniture, utensils, crockery and Kitchen Equipments in working and good condition situated at .., hereinafter referred to as the canteen 2. The Licensor shall arrange and bear the cost of the raw material, provisions, fresh supplies, fuel, gas, electricity, cleaning material etc. 3. The Licensee shall prepare and serve lunch, dinner and Tea/snacks to the employees and guests of the Licensor only at the canteen. No other person shall be provided/served meals at the canteen. 4. That the Licensee shall prepare and serve as per menu fixed from time to time by the Licensor and other details given in the annexure to the agreement. 5. The Licensee shall be entitled to collect his labour charges from the employees directly at the following rates per person/per meal. The payment towards guests of licensor shall be made by the licensor. a) Tea & snack( Containing 1 cup tea, samosa/pakora/buiscuit) Re.1/b) Meal (Lunch/ Dinner as per menu) Rs 5/6. No stale food items shall be served by the licensor. 7. The food prepared by the licensor will be subjected to inspection by the Licensor. The material rejected by the inspecting authority shall be immediately removed from the premises 8. The Licensee shall be responsible for maintenance of all the equipment. The Licensee shall bear 20% expenses for maintenance and repairing of any part of any equipment during the period of agreement and the balance 80% shall be paid by the Licensor.

9. The Licensee shall also arrange to clean the utensils, furniture, equipment, canteen and kitchen at his own cost, so as to maintain the highest standards of hygiene at all times. 10. That the licensor shall provide any additional equipment required at its own cost. 11. That the licensor shall bear the cost of repair maintenance and replacement of the furniture. 12. All the equipment/furniture should be in working condition all the time and if required the repairing work should be completed within 7 days. 13. On the expiry of the Licence, all the equipments shall be returned in working condition otherwise the expenses of the repairing/replacing of any equipment will be to the account of the Licensee. 14. The Licensee shall pay his own staff and meet all the legal obligations of the staff. Any infringement of the law and consequences shall be the sole responsibility of the Licensee. 15. The Licensee shall provide uniform to his workers and ensure that they wear the same during the working hours. 16. That any contravention of the terms and condition of the agreement will render the agreement liable for termination. In the event of termination, all the items shall be removed from the premises within seven days. 17. The agreement shall be effective from .. till It witness where of, the parties here to have executed, this agreement as of the date first above written.
