TERMS

OF

PARTICIPATION

Article 1 Purpose The following are the rules and regulations to participation in the 2012 International Agricultural Exhibition (2012 IAE) Article 2 Definition Participant refers to those who apply to attend and/or display at the 2012 IAE and may include country representatives, local government, organizations, exhibitions, associations, private organizations or individuals. Manager refers to the 2012 IAE Secretariat located at 206-7 Senam-ro Sanpo-myun Na-ju Jeollanam-do Province, Korea. Article 3 Exhibition Application To apply to the 2012 IAE, fill out the application form and submit it to the IAE Secretariat. A down payment amounting to half of the participation fee must be received within 15 days from the date of application. Participants are responsible to advise the Secretariat should personal/company information change. The Secretariat will not take responsibility for outdated information. Article 3-2 Exhibition Period It is hoped that exhibitors will stay for the entire exhibition period. However, if not possible, we request that you consult with the IAE Committee regarding alternative arrangements. Exhibitors who abandon their booths before the agreed term of participation will be responsible for paying the full value of the booth. The participant will have no option for recourse in this matter. Article 4 Participants Fees Participants must pay a deposit of 50% of the participants fee within 15 days of the application submission date and the balance before August 3rd, 2012. Should participants fail to make the payment, registration will be canceled and any pre-shipped merchandise could be withheld. Non-profit organizations may apply to the Secretariat for financial assistance. Article 5 Cancellations or Alterations Participants must send notice of cancelations or changes in writing. Cancelations that occur before Aug 3 are eligible for half refunds. Any cancelations after that point will be nonrefundable. Interest on deposits will not be given. Article 6 Display Allocations Participants will be granted a location at the Secretariat's discretion. Nationality, specialty and expertise will be considered in the allocation of exhibition space. Depending on the situation, location changes may be granted. Applicant may not change their place without IAE Secretariat's approval Article 7 Setup and Dismantling Booths Participants must start set up their displays 2 days before the event and be inspected by Secretariat representatives. Access to booths that have not received approval from the Secretariat may be restricted and products confiscated. The participant will have no option for recourse in this matter.

The secretariat may restrict access and display items as deemed necessary. Participants must dismantle their booths within 1 day from the end of exhibition Article 8 IAE Cancellation or Alterations In the event that the Secretariat cancels the exhibition, refunds will be offered to all participants. However, this does not apply for acts of god or unforeseen events. Applicant may not hold the Secretariat responsible in this case. Article 9 Security, Assurance and Risk Bearing The IAE Secretariat is taking full measures to ensure that both participants and visitors are safe and secure throughout the entire length of the exhibition. Participants must assume responsibly for their property throughout the duration of the exhibition, and are asked to purchase insurance. Article 10 About Soliciting Applicants shall not engage in direct selling without prior approval from the IAE Secretariat. This applies to both wholesale and retail sales. Violators will be asked to leave the exhibition and the Secretariat will take no responsibility for losses resulting in such. Article 11 Customs Overseas applicants must respect the customs laws of the Republic of Korea. Article 12 Supplement Regulations The Secretariat reserves the right to add new rules in the specified contract Participants will be notified of these changes Applicants must follow the Secretariat's decisions Article 13 Interpretation of Words and Phrases In the case that interpretation of this document between the participant and the Secretariat differ, the Secretariat interpretation will be followed. Article 14 Conflict Resolution Disputes between Participants and the Secretariat will be resolved through the Korean Commercial Arbitration Board and the resulting verdict must be followed.
