Points to be noted by the Licensee before executing a Leave & License Agreement: Both: (Commercial and Residential) Title

of the property: 1. Licensee/ licensees lawyers should be allowed to conduct a legal due diligence of the said premises in terms of the right to title of property of the licensor to be able to enjoy the premises without any encumbrance. 2. Licensee should be allowed to use the premises without any hindrance or obstruction 3. Licensor should not create any charge upon, mortgage or any other encumbrance in respect of the premises. Indemnity: 1. Licensor should indemnify the Licensee against all actions, suits, legal proceedings and all costs, charges, expenses, loss or damages, incurred or suffered by or caused to the Licensee by reason of any non-observance, nonperformance or non-payment by the Licensor. Force Majeure: 1. Licensee should not be liable if any damage is caused to the premises due to unforeseeable circumstances. Security Deposit: 1. Licensee should ensure refund of the Security Deposit at the time of termination of agreement. 2. Stamp Duty and Registration charged should be borne equally by the Licensor and the Licensee. 3. Should Licensee choose to vacate the premise, it will at any time give a fair notice to the Licensors and the Licensors should refund the proportionate amount of license fees to the Licensee. Taxes, Water, Electricity and other charges: 1. All the municipal taxes and other taxes and levies in respect of the premises should be paid by the Licensor alone. 2. A separate electric and water meter should be provided for the sake of convenience of payment of the said bills by the Licensee.

Usage & Maintenance: 1. Licensee should be allowed to use the open spaces/car parking/ etc. which is a part of the premises. 2. Licensee should be allowed to make basic changes in the premises such as electric fixtures, furnitures, interior decoration, color wash etc. at his own cost, which are not structural or permanent in nature. 3. Licensor shall provide a telephone and other amenities the bills for which will be borne by the Licensee. 4. Licensee shall be entitled to affix its own name plate or sign board at the entrance of the said premises and also such places as are earmarked for the said purpose in the said building by the Society. Termination 1. If the agreement is terminated without any default on the part of the Licensee, the security deposit should be refunded to the Licensee. 2. Licensee should be given a fair amount of time to vacate the premises in case of termination of agreement before the agreed period on part of the licensor. For Commercial: 1. Licensee should be entitled to advertise by putting hoardings and other contrivance of advertisements but so as not to cause any damage to the premises. If any damage is caused, the loss will be made good by the Licensees. 2. Licensee should be allowed to display his name plate.

The license granted is personal to the Licensee and the Licensee shall not assign the same or transfer the benefit of the agreement to any other person or party. Indemnity: 1. Licensee should indemnify the Licensor against all losses, claims, damages arising from breach, default of the premises by the Licensee of any obligation, covenants, and conditions. Force Majeure: 1. In case of any damage caused to the premises due to unforeseeable circumstances, the amount of compensation should be decided basis Arbitation. Licensed fees & Security Deposit: 1. Stamp duty and Registration fees shall be borne by the Licensor and Licensee in equal share. 2. Licensee should deposit the fixed security deposit with the Licensor before the execution for performance of the said agreement. 3. Licensor is entitled to receive the licensed fees in advance as decided by the agreement, failing which the licensor can ask the Licensee to vacate the premises. Taxes, Water, Electricity and other charges: 1. The electric, water, and other amenities charges are to be borne by the Licensee at his own cost, and the Licensor will not be responsible for the same. 2. Licensee should take out necessary Insurance policies in respect of the business/house and its assets against the risk of fire, dacoity, theft, etc. Usage & Maintenance: 1. Licensee must use the premises for the purposes as agreed to in the agreement only. Use of the premise for any other purpose should amount to breach of contact on part of Licensee. 2. If the Licensee desires to have any additional fitting n fixture, he shall remove such fittings on the termination of the License, failing which they shall be deemed to be the property of the Licensor post the termination of the agreement.

3. Licensor should have the right to enter upon the Premises at any time to inspect the premises. 4. Licensee shall maintain the premises in good condition and should not cause any damage thereto. In case of any damage by the Licensee or any person, the licensor should reserve the right to forfeit/deposit/ security amount. 5. No structural repairs or additions of permanent nature should be made to the premises, without the previous written consent of the Licensor. Termination: 1. On the expiration of the term or early termination, the Licensee shall hand over vacant and peaceful possession of the premises to the Licensor in the same condition in which the premises existed at the time of execution of the agreement, subject to normal wear and tear. 2. If the Licensee commits breach of the agreement, the Licensor should be entitled to terminate the Agreement by giving ____days written notice and deduct proportionate amount from the refundable security deposit depending on the losses incurred to the Licensor on account of the breach.
