Dear Sr. Fernndez: This letter, when signed, will confirm that Empresa Cubana del Tabaco (Cubatabaco) is the applicant, inter alia, for the registration in the United States Patent & Trademark Office (USPTO) for Serial No. 77157193 for the certification mark HABANOS for cigars and that Corporacion Habanos, S.A. (Habanos, S.A.) is the applicant, inter alia, for the registration in the USPTO for Serial No. 85372110, in International Classes (IC) 35, for the goods and services identified in the application. Pursuant to our discussions, Cubatabaco hereby consents, and has no objections, to the use, to the extent permitted by United States law, and to the registration in the USPTO, of the trademark HABANOS POINT & DESIGN, Application Serial No. 85372110, by Habanos, S.A. for the following goods in IC 35: Retail store and on-line retail store services featuring cigars, cigarettes, small cigars, matches, cigar cases, ashtrays and lighters. The basis for this consent is our mutual determination that there is no likelihood that consumers have been or will be confused as a result of the use and/or registration of the mark in Application Serial No. 77157193 by Cubatabaco and the mark in Application Serial No. Registration No. 85372110 by Habanos, S.A. This determination is supported by the following facts, taken together or in combination: 1) the current business relationship between the parties, including Cubatabacos 50% ownership interest in Habanos, S.A., will allow for their cooperation to avoid any possibility or concern of likelihood of or actual confusion; 2) the parties have no knowledge of any instances of actual confusion, including between the above-identified Habanos, S.A. mark in IC 35 and the above-identified certification mark of Cubatabaco in IC A; and 3) the Examiner has not identified a likelihood of confusion between Cubatabacos applied-for mark and Habanos, S.A.s applied-for mark. In order to carry out the intent of this consent, the parties agree to continue their cooperation in any reasonable action to avoid confusion and to correct any instances of likelihood of confusion which may come to their attention.

By signing, dating, and returning this letter to Habanos, S.A., Cubatabaco agrees to the terms of this consent.
