MEMORANDUM OF UNDERSTANDING BETWEEN (NAME OF COLLEGE) AND ILLUMINE ENGINEERING SOLUTIONS AND INDUSTRIAL TRAINING CENTRE PRIVATE LIMITED

(IESITC PVT. LTD.), INDORE, MADHYA PRADESH This Memorandum of Understanding is made on day of

, between (NAME OF COLLEGE) , address at (college address) hereinafter referred to as 'the Institution' as one part and IESITC PVT. LTD. having addressed at 112, Shakuntala Complex, Janki Nagar, Navlakha, A.B. Road, Indore hereinafter referred to as 'the Company' on the other part. 1. The (NAME OF COLLEGE) is a recognised engineering college by AICTE, New Delhi for running & providing engineering education. 2. IESITC Pvt. Ltd. is a company applied for registration as Skill Knowledge Providers (SKP) by AICTE, in response to advertisement by AICTE under the National Vocational Education Quality Framework (NVEQF) & proposing to provide training to the students at the premise of (NAME OF COLLEGE) hereinafter referred as the Institution in accordance with the norms of the SKP. 3. (NAME OF COLLEGE) is registered for conduct of Vocational Educational Programs (VEP) by AICTE, has been making efforts to register SKPs in response to advertisement by AICTE under The National Vocational Education Quality Framework (NVEQF). 4. IESITC Pvt. Ltd. will provide training to students registered by Institute to conduct VEP as per AICTE norms as required at various certification levels. 5. SKP will evaluate the skills acquired by the students and award skill certificates jointly with (NAME OF COLLEGE) along with vocational skill credits. 6. Training time and schedule will be flexible and will be decided with mutual consultation of both the parties. 7. IESITC Pvt. Ltd. will provide training in Construction sector that is Building Technology and Information Technology sector that is Software Development. 8. IESITC Pvt. Ltd. will provide 1000 hours of training or as prescribed by AICTE for the course during a year. 9. The training should be provided in college campus of (NAME OF COLLEGE) and all necessary infrastructure like suitable training rooms, PowerPoint projection capability, White Board with pens, markers and other materials required in time to time, as to be mutually agreed upon both the parties. 10. The registration of students and collection of fees will be the responsibility of the first part & the second part will provide appropriate technical support and manpower to provide training. The fees collected & received from students will be shared between both parties in accordance with the mutual decisions. 11.This agreement embodies entire understanding of the parties as to its subject-matter, shall not be amended except in writing executed by both parties to the agreement.

12.Either party may give notice in writing to the other to terminate this agreement in the event of: (i) Judicial proceedings for bankruptcy, composition with creditors, sequestration of assets for creditors, or receivership, instituted by or against such other party, insolvency of such other party or its failure to meets its obligations as they mature for any material period of time. (ii) Any default by such other party in the performance or observation of any of its obligations under this agreement, which is not remedied to the satisfaction of the party giving such notice within ninety days following delivery of such notice. Such notice to contain reasonable particulars of such default and to state the intention to terminate the agreement under this clause unless such default is made good or remedied. 13.All disputes, questions or differences, etc. arising in connection with this agreement shall be referred to a single arbitrator in India in case parties agree upon one, otherwise two arbitrators in India, are to be appointed by each party in accordance with and subject to the provisions of the Arbitration Act, 1940 or any other enactment, statutory modification thereof for the time being in force. 14.Validity period for this MOU is One year which can be renewed if agreed by both the parties. 15. This agreement will be governed and interpreted according to the Laws of India.
