Dear Ganesh, We take this opportunity to welcome you to our company, ClickSoftech Pvt Ltd. and look forward to long and mutually beneficial association with the Company. You will hold position of Manager in Training & Development department based at Thane w.e.f. May 18th, 2012. The terms and conditions of your employment are as follows:

1. Cost of Employment Your gross cost of employment with us is Rs. 3,00,000/- p.a. (Rupees Three lacks Only). The basic salary for this position is Rs. 90,000/- (Rupees ninety Thousand Only) payable monthly in arrears on or about the last working day of each month.

2. Transfer of Services Your services can be transferred from one department to another or from one branch to another, anywhere in India, whether existing at present or to be set up in future.

3. Probationary Period The first six months of your appointment will be deemed as a probationary period. The management at its sole discretion may review the probationary period. During this period, either party (the Company or you) may decide to terminate services with the Company at any time without assigning any reason whatsoever or giving notice of fifteen days or any payment in lieu thereof.

On satisfactory completion of the period of probation, you will be issued a letter confirming your appointment and on such confirmation, the employee will be deemed to be in service from the effective date of joining. If the Company is dissatisfied with your performance during probationary period, the Company may extend the period of probation for a further period of three months with a view to give you one more opportunity to improve your performance.

4. Notice Period a) Once you have completed your probation period, either party may terminate the services on giving one months notice or payment of salary (basic) in lieu thereof. b) The Company reserves the rights in its absolute discretion to terminate your employment with immediate effect by paying salary in lieu of notice (less any deductions the Company is required to make under the I.T. regulations), or in lieu of part of notice period, if part of the notice period is worked at the Companys request. c) Your services are liable to be terminating without any notice in the Company is informed of any previous conviction by a court of law involving moral turpitude, or if any particulars given in your application form / interview are found to be false or incorrect.

Note: *Flexi Basket consists of a mix of components such as vehicle running & maintenance expenses,
driver salary, office wear expenses, meal & gift vouchers, medical, LTA etc. ** Employer's contribution of PF account. Statutory deductions such as PF, TDS etc. will be applicable as per norms. *** Fixed 10% of CTC (paid on bi annual basis with Sep and March salary)

I have read and understood the above compensation structure and hereby signify my acceptance of the same.

5. Services You will be responsible for execution of various assignments / tasks given to you from time to time and for the efficient functioning of your Section / Department / Branch. You will abide by the rules and regulations framed from time to time by the company.

6. Leave You will be entitled to Leaves as per the prevailing policies of the Company, which the Company has the right to amend from time to time. You may understand existing policy in this regard from our HR Department.

7. Deductions a) By accepting the terms of employment, you authorize the Company to deduct all dues from remuneration at the time of separation of employment. b) Statutory deductions like PF, Income Tax, etc. would be made at source. With the exception to the obligation to withhold tax, the Company, however, assumes no responsibility for your personal tax affairs. Any tax liability in respect of your remuneration is entirely your responsibility.

8. Confidentiality You agree that the terms and conditions applying to your contract are strictly confidential. Any disclosure of these terms and conditions to third parties (including other contractees / employees) of the Company or any of its associate or affiliate companies or other entities constitutes a breach of your contract. You agree during the term of your contract hereunder and thereafter not to use such information for any purpose other than for the sole benefit of the Companies or any of its associate or affiliate companies or entities and you agree not to disclose any such information to any third party without the prior written consent of the Company.

9. Corporate Code of Conduct During your employment with the Company, you will be required to devote the whole of your time, attention and abilities to the services of the Company exclusively and shall not accept any additional employment or engage directly or indirectly in outside activity.

10. Competitive Employment For a period of 1 year post termination of your employment with the company pursuant to clause 6 hereof, you shall not engage yourself or work with any other firm and/or company with is in competition with the business of the Company so that the interest of the Company is not compromised.
