Supplemental Terms Exhibit San Onofre Nuclear Generating Station (SONGS) The definition of Edison in the DEFINITIONS to the

Edison Terms and Conditions is replaced by the following definition: Edison: Southern California Edison Company, acting as principal on its own behalf and as operation agent for the other co-participants. The definition of Customer in the DEFINITIONS to the Edison Terms and Conditions is replaced by the following definition: Customer: Southern California Edison Company, acting as principal on its own behalf and as operation agent for the other co-participants. The following definitions are added to DEFINITIONS to the Edison Terms and Conditions: Act: Atomic Energy Act of 1954, as amended from time to time. Government Indemnity: A government indemnity agreement between Edison (or Customer) and the Nuclear Regulatory Commission entered into pursuant to Subsection 170c of the Act. Mesa: That area south of San Onofre Creek, east of SONGS and east of Interstate 5, which is used as a support area for SONGS. Nuclear Liability Protection: Liability insurance from American Nuclear Insurers or other financial protection in an amount and form that shall meet the financial protection requirements of the Nuclear Regulatory Commission pursuant to Subsection 170b of the Act. Property Insurance: Insurance in the form of a policy from: (i) Nuclear Electric Insurance Limited; (ii) American Nuclear Insurers; or (iii) similar property insurance, for nuclear reaction, nuclear radiation, and radioactive contamination and for non-nuclear risks of direct physical loss or damage to property at the Plant Site. Plant Site: The owner-controlled (including the protected, restricted and red badge) areas encompassing SONGS, but excluding the Mesa. Public Liability: Public liability as defined in subsection 11w of the Act. SONGS: San Onofre Nuclear Generating Station, Units 1, 2 & 3 and common facilities Station: The Plant Site and Mesa. The following provisions are added to the INSURANCE Section in the Terms and Conditions: Nuclear Liability Insurance (A) For its own protection and the protection of Contractor and its Subcontractors, Edison (or Customer) shall, at its expense, maintain Nuclear Liability Protection and Government Indemnity to meet the requirements of Section 170 of the Act.

(B) If the Nuclear Liability Protection and/or Government Indemnity, as contemplated by Section 170 of the Act, are repealed, changed, or expire, Edison (or Customer) shall maintain replacement Nuclear Liability Protection and/or Government Indemnity in effect during such period as may be necessary to cover Public Liability arising out of or resulting from the Services, to the extent reasonably available, taking into consideration factors such as, but not limited to: (i) availability, cost and terms of such replacement Nuclear Liability Protection and/or Government Indemnity, (ii) practices of other electric utilities of similar size and characteristics, (iii) the type, size, and location of the licensed activity and other then-existing factors pertaining to the hazard, (iv) the interests of Edison (or Customer), its contractors and suppliers, and (v) prudent management principles of Edison (or Customer) based upon its thencurrent circumstances. Nuclear Property Insurance For its protection and for the protection of Contractor and its Subcontractors, Edison (or Customer) shall at its expense maintain Property Insurance for Edison (or Customer) owned or leased property, and for Contractor's, its Subcontractor's and for other entities' tools and equipment located at the Plant Site. Edison (or Customer) shall require its insurers to waive, any right of recovery from Contractor and its Subcontractors for such loss of, damage to, or loss of use of such property. Contractor Nuclear Insurance [IF APPLICABLE] If the Services involve radioactive material and are performed off-site (including transportation and Services at Contractors facility) contact Risk Management for Contractor Nuclear Insurance Requirements.

The following provision is added to the COMPLIANCE WITH CUSTOMER POLICIES AND PROCEDURES Section in the Terms and Conditions: SONGS Supplemental Terms. The attached San Onofre Nuclear Generation Station (SONGS) Requirements for Site Access and Access to Protected Radiologically Controlled Area dated October 2009 is hereby incorporated by this reference into the Terms and Conditions. Contractor shall immediately notify the Edison Representative and the Procurement Agent if Contractor is unable to meet any of the requirements.
